Terms & Conditions Syndesi Wellness

(“Terms” or “Agreement”) govern your access to and use of the Syndesi Wellness LLC website, programs, courses, memberships, communities, retreats, events, coaching services, educational materials, digital products, and other offerings.

By accessing our Website, purchasing or participating in an offering, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Definitions

The terms “Syndesi Wellness,” “Company,” “we,” “us,” and “our” refer to Syndesi Wellness LLC.

References to June Kramer, June Syndesi Kramer, June Kramer West, and June Syndesi Kramer West refer to the founder, educator, creator, facilitator, and/or representative of Syndesi Wellness LLC, as applicable.

A “Visitor” is anyone who browses or accesses our Website.

A “Client,” “Participant,” “Member,” or “User” is anyone who purchases, enrolls in, accesses, participates in, or otherwise uses our Programs, Products, Services, communities, or Content.

A “Program” or “Offering” includes any course, coaching program, membership, mastermind, retreat, workshop, event, training, digital product, community, or other paid or complimentary offering provided by Syndesi Wellness LLC.

 

Current and past offerings may include, without limitation: Family Freedom Retreat. Liberated, Transforming Generational Patterns Course, Rites of Passage, The Generational Leadership Room, HELD While You Rise, Expand.

 

These Terms may also apply to future Syndesi Wellness LLC programs and offerings unless separate terms are expressly provided.

“Content” includes, but is not limited to, written materials, teachings, methodologies, frameworks, exercises, worksheets, workbooks, videos, recordings, audio recordings, graphics, designs, downloads, presentations, community materials, course materials, intellectual property, and other materials provided through our Website, Products, Programs, or Services.

 

2. Acceptance of Agreement

This Agreement is between you and Syndesi Wellness LLC.

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT PROVISIONS REGARDING PAYMENT OBLIGATIONS, REFUNDS, INTELLECTUAL PROPERTY, DISCLAIMERS, AND LIMITATIONS OF LIABILITY.

By accessing our Website, purchasing a Program, checking a box indicating acceptance of these Terms, submitting payment, or participating in our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, do not purchase, access, or participate in our Website, Programs, Products, or Services.

Additional program-specific agreements, enrollment agreements, retreat waivers, informed consent documents, payment agreements, community agreements, or checkout terms may also apply.

If specific written terms relating to a particular Program conflict with these general Terms, the more specific written terms will control with respect to that Program.

 

3. Intellectual Property & Copyright

All Content provided through Syndesi Wellness LLC is protected by applicable copyright, trademark, intellectual property, and other laws.

This includes, without limitation: Written teachings and curriculum,Videos and recordings, Audio recordings, Course materials,Workbooks and worksheets, Graphics and designs, Frameworks and methodologies, Presentations, Exercises and processes, Program names and branding, Downloadable resources, Community materials, Retreat materials

 

Syndesi Wellness LLC retains all rights, title, and interest in its Intellectual Property except where otherwise expressly stated.

Your Limited License

When you purchase or receive access to a Program, you are granted a limited, personal, non-exclusive, non-transferable license to use the materials for your own personal and/or professional development, subject to these Terms.

 

Your purchase does not transfer ownership of our Content or Intellectual Property to you.

Unless you receive prior written permission from Syndesi Wellness LLC, you may not:   Copy or reproduce our Content for distribution; Sell or resell our Content; Share login credentials or Program access; Distribute recordings or downloads to others; Upload Program materials to another platform; Republish or publicly display substantial portions of our materials; Create derivative programs, trainings, courses, certifications, or commercial products substantially based upon our proprietary materials; Represent our teachings, frameworks, curriculum, or materials as your own; Use our materials to train artificial intelligence systems or create databases of our proprietary Content; Record live sessions except where expressly permitted; Provide unauthorized third parties access to paid Program materials.

Unauthorized copying, sharing, distribution, resale, or commercial exploitation of our Intellectual Property may result in immediate termination of access and, where appropriate, further legal action.

 

4. Payments & Tuition

By purchasing a Program, Product, Service, retreat, membership, or other Offering from Syndesi Wellness LLC, you represent and warrant that:

 

1. The payment information you provide is accurate and complete;

 

2. You are authorized to use the payment method provided;

 

3. Charges you authorize will be honored by your financial institution;

 

4.You agree to pay the price presented at checkout, together with any applicable taxes or fees disclosed to you; and

 

5.You remain responsible for amounts validly owed under your purchase agreement if a scheduled payment is declined or unsuccessful.

 

Payment Plans

When a Program has a defined total tuition and you elect to use a payment plan, you are purchasing the entire Program at the full tuition amount.

The payment plan is a convenience that allows you to pay that tuition in installments.

 

It is not a month-to-month participation arrangement unless we expressly state otherwise in writing.

 

Therefore, withdrawing from the Program, ceasing participation, failing to attend calls, not using Program materials, or deciding that you no longer wish to participate does not automatically cancel your remaining installment obligations.

 

You authorize Syndesi Wellness LLC and its payment processors to charge the payment method you provided according to the payment schedule disclosed at enrollment, subject to applicable law.

 

Recurring Memberships or Renewals

If an Offering is structured as a recurring membership or automatically renewing program, the applicable price, billing frequency, renewal terms, and cancellation process will be disclosed at enrollment or checkout.

 

Where cancellation is permitted before renewal, cancellation prevents future renewal charges but does not ordinarily reverse charges that have already become due, unless otherwise required by law or expressly stated in the Offering's specific terms.

 

5. Refund, Transfer & Cancellation Policy

 

WE TRUST IN YOUR CAPABILITY AND CAPACITY TO INVEST IN & BET ON YOURSELF.

 

All Sales Are Final

 

Unless otherwise expressly stated in writing for a specific Offering or required by applicable law, Syndesi Wellness LLC does not offer refunds or transfers after purchase.

 

This applies to Programs, digital courses, memberships, group programs, coaching offerings, workshops, events, and other Services.

 

When you enroll, a place may be reserved specifically for you, Program capacity may be limited based upon enrollment, and Syndesi Wellness LLC may make business, staffing, scheduling, resource, and community decisions based upon your commitment.

For this reason, we ask that you make your enrollment decision thoughtfully before purchasing.

 

A decision to discontinue participation does not, by itself, entitle you to a refund or relieve you of remaining amounts due under a payment plan for tuition already committed to.

 

Nothing in this section is intended to limit any non-waivable rights you may have under applicable law.

Retreats and In-Person Experiences

Retreats and in-person experiences may have additional policies related to travel, accommodations, transfers, cancellations, health and safety, assumption of risk, and participant conduct.

 

Where applicable, you may be required to accept a separate retreat agreement, waiver, or informed-consent document before participating.

 

6. Program Access

Access periods vary by Offering.

The applicable sales page, checkout page, enrollment agreement, or Program description will identify the duration of access where relevant.

Access may include combinations of: Live calls;Recorded calls; Digital curriculum; Community access; Workshops; Coaching; Retreat participation; Bonus materials; Downloadable resources; and Other benefits specifically described in the applicable Offering.

 

Failure to use or access included materials during the designated access period does not create a right to a refund or extension unless Syndesi Wellness LLC agrees otherwise in writing.

 

7. Educational Nature of Our Services

Syndesi Wellness LLC provides education, coaching, personal-development resources, leadership development, wellness education, experiential learning, and related services.

Unless expressly stated otherwise in a separate professional agreement, our Programs and Content are not a substitute for medical care, psychotherapy, psychiatric care, legal advice, financial advice, diagnosis, or treatment from an appropriately licensed professional.

Participation in a Syndesi Wellness Program does not create a physician-patient, therapist-client, attorney-client, or other licensed professional relationship merely by virtue of participation.

You remain responsible for determining which professional services, medical care, mental-health care, or other support are appropriate for you.

If you are under the care of a physician, therapist, psychiatrist, or other health professional, you are responsible for consulting them regarding questions relating to your individual circumstances.

 

8. Personal Responsibility

Our Programs may invite reflection upon relationships, family systems, leadership, communication, generational patterns, emotional experiences, personal history, identity, business, visibility, and other meaningful areas of life.

You acknowledge that participation may involve personal reflection and emotionally significant subject matter.

You remain responsible for your own decisions, actions, wellbeing, relationships, business choices, finances, and use or implementation of information presented through our Programs.

You agree to exercise your own judgment and seek appropriately qualified professional support where needed.

 

9. No Guarantee of Results

Syndesi Wellness LLC is committed to delivering its Programs and Services with care and integrity. However, individual results vary.

We do not guarantee any particular emotional, relational, financial, professional, business, health, audience-growth, income, personal-development, or other result.

Testimonials, case studies, examples, stories, or participant experiences represent individual experiences and are not guarantees that another participant will achieve the same or similar outcome.

Your results depend upon many factors, including your circumstances, participation, implementation, choices, experience, effort, and factors outside the control of Syndesi Wellness LLC.

 

10. Community Confidentiality

Certain Programs may include group calls, retreats, communities, group discussions, or other spaces in which participants share personal information.

You agree to respect the privacy and confidentiality of fellow participants.

You may not record, screenshot, reproduce, distribute, publish, or publicly share another participant's personal story, image, identifying information, comments, or contributions without that person's express permission.

While Syndesi Wellness LLC expects participants to honor confidentiality, we cannot absolutely guarantee the actions of every participant in a group environment.

Accordingly, you are encouraged to exercise judgment regarding the information you choose to share.

 

11. Recordings

Certain live calls, classes, workshops, coaching sessions, events, or Program experiences may be recorded.

When recordings are intended to be made available to other Program participants, reasonable notice may be provided through the Program materials, registration process, meeting platform, or live experience.

Where required, additional consent may be obtained.

If you participate in a recorded group session, your name, voice, image, or contribution may potentially appear in the recording.

Separate permission will be obtained where legally required for uses outside the purpose for which the recording was originally created.

 

12. Participant Conduct

Syndesi Wellness LLC is committed to creating respectful learning and community environments.

Participants may not engage in conduct including: Harassment; Threats; Abuse; Discrimination prohibited by applicable law; Intentional disruption; Unauthorized solicitation; Misrepresentation; Intellectual-property theft; Sharing another participant's confidential information; Unauthorized recording or sharing* ; Fraudulent activity; or Conduct that materially interferes with the experience, privacy, safety, or rights of others.

Syndesi Wellness LLC may establish additional community guidelines for individual Programs.

 

13. Termination of Access

Syndesi Wellness LLC may suspend or terminate a participant's access to a Program or community when reasonably necessary because of: Material breach of these Terms; Failure to make required payments; Unauthorized copying or distribution of Program materials; Intellectual-property infringement; Fraudulent or illegal activity; Harassment or serious disruption of a Program community; Material violations of participant confidentiality; or Other serious violations of applicable Program agreements.

Where appropriate under the circumstances, we may first provide notice and an opportunity to correct the violation.

Termination of access due to a participant's material breach does not automatically eliminate financial obligations that became due under the participant's purchase agreement, subject to applicable law.

A participant may stop participating at any time; however, voluntarily discontinuing participation does not automatically create a right to a refund or cancel an existing obligation to complete an agreed payment plan for a defined tuition amount.

 

14. Prohibited Uses

You may not use our Website, Content, Programs, Products, or Services:For an unlawful or fraudulent purpose;To violate another person's rights; To gain unauthorized access to our systems or accounts; To distribute malicious software;To copy or commercially exploit proprietary Content without authorization; To impersonate Syndesi Wellness LLC or its representatives; To misrepresent yourself as authorized, licensed, endorsed, or certified by Syndesi Wellness LLC when you are not; To share paid Content or Program access with unauthorized third parties; or In any manner that materially interferes with the proper operation of our Website, Programs, Services, or communities.

 

15. Third-Party Platforms & Services

Our Website and Programs may use third-party services including payment processors, video-conferencing services, email providers, course platforms, messaging platforms, social-media platforms, scheduling software, and other technology providers.

Syndesi Wellness LLC does not control every aspect of these third-party platforms and is not responsible for temporary outages, changes, policies, or actions outside our reasonable control.

Your use of third-party services may also be subject to those providers' own terms and privacy policies.

 

16. Website Availability

We endeavor to maintain reliable access to our Website and digital services but do not guarantee uninterrupted or error-free operation.

We may modify, update, suspend, replace, or discontinue portions of our Website or technological infrastructure as reasonably necessary.

Where a purchased Program remains ongoing, we will make reasonable efforts to continue providing the substantive Program access promised to participants, although the specific technology or platform through which it is delivered may change.

 

17. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Syndesi Wellness LLC and its owners, officers, employees, contractors, representatives, agents, affiliates, successors, and assigns from third-party claims, liabilities, damages, losses, and reasonable expenses arising from your unlawful conduct, your material violation of these Terms, your infringement of another party's rights, or your unauthorized use or distribution of our Content.

 

18. Disclaimer of Warranties

To the fullest extent permitted by law, our Website, Programs, Content, Products, and Services are provided on an “as available” basis.

We make no guarantee that participation will produce any particular outcome or that every aspect of the Website or technological platforms used to provide our Services will operate without interruption.

Nothing in these Terms excludes warranties, rights, or remedies that cannot lawfully be excluded.

 

19. Limitation of Liability

To the fullest extent permitted by applicable law, Syndesi Wellness LLC and its owners, officers, employees, contractors, representatives, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from participation in or use of our Website, Programs, Products, Content, or Services.

To the extent permitted by applicable law, Syndesi Wellness LLC's aggregate liability arising from a particular purchased Offering will not exceed the amount actually paid by the participant to Syndesi Wellness LLC for that particular Offering giving rise to the claim.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited.

 

20. Governing Law

Unless a separate written agreement provides otherwise, these Terms and any dispute relating to them will be governed by the laws of the State of Arizona, without regard to conflict-of-law principles.

Subject to any applicable mandatory consumer rights or separately agreed dispute-resolution provisions, the parties consent to jurisdiction in the appropriate state or federal courts located in Arizona.

 

21. Severability & Survival

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect to the fullest extent permitted by law.

Any provisions that by their nature should continue after termination—including provisions relating to intellectual property, confidentiality, outstanding payment obligations, limitations of liability, indemnification, dispute resolution, and governing law—will survive termination or expiration.

Our decision not to enforce a provision on one occasion does not constitute a permanent waiver of that provision or our right to enforce it later.

 

22. Changes to These Terms

Syndesi Wellness LLC may update these Terms from time to time.

When changes are material, we may provide notice through our Website, email, Program platform, checkout process, or another reasonable method.

Updates will apply prospectively unless applicable law permits otherwise.

Material changes will not retroactively alter a participant's agreed financial obligations or dispute-resolution rights except where the participant expressly agrees or applicable law otherwise permits.

Your continued use of our Website or Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.

 

23. Entire Agreement

These Terms, together with any applicable sales page, checkout terms, enrollment agreement, payment agreement, retreat waiver, privacy policy, informed consent document, or Program-specific agreement, constitute the agreement between you and Syndesi Wellness LLC regarding the applicable Offering.

They supersede prior oral or written representations regarding the same subject matter except where expressly incorporated into a subsequent signed agreement.
